As a result, he will resign from the Board immediately prior to the upcoming Annual Meeting, and we will reduce the size of the Board to seven members. Mr. Bailey is currently a member of the Audit and Finance Committees. Existing directors may be appointed to fill the vacancies on these committees upon Mr. Bailey’s resignation from the Board.
