Each committee is composed of at least two independent directors who together constitute a majority of each committee. Non-employee directors are entitled to be paid $1,000 per month. Directors that serve on the Audit or the Compensation Committee are paid an additional $125 per month for each committee upon which they serve. In March 2001 the Board of Directors agreed to defer payment of all non-employee directors fees until otherwise determined by the Board of Directors. In October 2001, the Board of Directors agreed to pay all directors fees, which were previously deferred. |
