Our Board of Directors has determined that all three members qualify as an “audit committee financial expert” as defined by applicable SEC rules. The Audit Committee met six times during 2018. Mr. Baute will no longer serve as a member of the Audit Committee after the 2019 Annual Meeting as he will not stand for re-election. The Compensation Committee met five times in 2018. The Compensation Committee has established a subcommittee (which we refer to as the 162(m) Subcommittee) and delegated to that subcommittee authority to issue equity awards and to determine certain qualified performance‑based compensation in accordance with the requirements of Section 162(m) of the Internal Revenue Code of 1986, as amended, which we refer to as the Code. As discussed below under “Compensation Discussion and Analysis–Tax and Accounting Considerations”, the performance-based compensation exception to Section 162(m)’s deduction limit has been repealed, except with respect to certain “grandfathered” compensation arrangements. Accordingly, the Company has retained the 162(m) Subcommittee for any such “grandfathered” arrangements. The 162(m) Subcommittee is comprised of Mr. Baute and Ms. Duckett, who are “outside directors” under IRS regulations. Mr. Baute will no longer serve as a member of the Compensation Committee or any subcommittees after the 2019 Annual Meeting.
