(the "Corporation"), a corporation organized and existing under and by virtue of the Delaware General Corporation Law (the "DGCL"), does hereby certify that: 1. The Board of Directors of the Corporation at a meeting duly called unanimously duly adopted resolutions setting forth a proposed amendment (the "Amendment") to the Certificate of Incorporation of the Corporation, as amended (the "Certificate of Incorporation"), declaring the Amendment advisability to its stockholders, and directing that the Amendment be considered at the 2008 special meeting of the stockholders of the Corporation followed by a majority vote in favor of the Amendment by the stockholders at such special meeting. The Amendment provides that the first sentence of Article Fourth of the Certificate of Incorporation be amended in its entirety to read as follows: "FOURTH: The total number of shares of all classes of stock which the Corporation shall have authority to issue is 258, 003,716 shares, consisting of 250,000,000 shares of common stock, $.001 par value per share (the "Common Stock"), and 8,003,716 shares of preferred stock, $.001 par value per share (the "Preferred Stock")." 2.
