Our Board of Directors has determined that each member of the Audit Committee also meets the definition of an "independent director" as defined by Rule 10A-3 under the Exchange Act and that Messrs. Netterville and LaBorde each qualify as an "audit committee financial expert," as defined by Item 407(d)(5) of SEC Regulation S-K, and as a "financially sophisticated audit committee member" under NASDAQ Listing Rule 5605(c)(2)(A). This determination is based on the fact that Mr. Netterville is a certified public accountant and Mr. LaBorde, in his previous capacity as Chief Executive Officer of Piccadilly Cafeterias, Inc., a publicly-traded company, directly supervised that company's Chief Financial Officer. During 2010, the Audit Committee held three in-person meetings and one telephonic meeting; the Compensation Committee held five in-person meetings and four telephonic meetings (two held jointly with the full Board); the Nominating and Corporate Governance Committee held five in-person meetings; and the Quality of Care Committee held its inaugural in-person meeting.
