Our board of directors has determined that Mr. Nilson qualifies as an "audit committee financial expert" under the rules of the SEC adopted pursuant to the requirements of the Sarbanes-Oxley Act of 2002. Mr. Nilson and Mr. Tolkachev each qualifies as "independent" as defined by the listing standards of the American Stock Exchange. During fiscal 2005 our audit committee met two times. Our board of directors has also established a compensation committee. A copy of our compensation committee charter is attached hereto as Appendix B. The principal function of the compensation committee is to make recommendations regarding compensation of the Company's officers. The compensation committee is comprised of three independent directors consisting of Troy Nilson, Valery Tolkachev and Stephen Smoot. |
